UP And NS Resubmit Landmark Merger Application

In a major development for the U.S. freight rail industry, Union Pacific and Norfolk Southern announced today that they have formally resubmitted their merger application to the Surface Transportation Board (STB), reviving their proposed $85 billion combination after regulators rejected an earlier filing earlier this year.
The revised application marks a critical next step in what could become the most transformative rail consolidation in decades—one that would create the nation’s first true coast-to-coast freight railroad linking the Pacific and Atlantic networks under a single operator.

A Second Attempt After Regulatory Setback
The resubmission follows the STB’s January 2026 decision to reject the companies’ original filing as “incomplete,” without prejudice, leaving the door open for a revised application that addresses missing data and regulatory concerns.
In response, Union Pacific and Norfolk Southern spent the past several months refining their proposal, expanding documentation, and strengthening arguments tied to competition, service impacts, and public benefits. The updated filing—reportedly spanning thousands of pages—aims to meet the STB’s strict modern merger standards, which require applicants not only to preserve competition but demonstrate that a merger will enhance it.
Vision: America’s First Transcontinental Freight Network
At the core of the proposal is the creation of what the railroads describe as an “end-to-end” transcontinental system, eliminating the need for handoffs between western and eastern carriers at interchange hubs such as Chicago.
Today, freight moving across the country often requires transfers between railroads, adding time, cost, and operational complexity. Union Pacific and Norfolk Southern argue that a unified network would streamline logistics and significantly improve efficiency.
According to the companies, the merger would:

The companies estimate that the combined railroad could generate approximately $3.5 billion in annual savings for customers, largely through improved routing efficiency, reduced handling, and faster delivery times.
